Terms and Conditions

These Terms and Conditions ("Terms") govern access to and use of the PingAlpha lead exchange and routing platform ("Platform") by affiliates, buyers, and other users (collectively, "you"). By accessing or using the Platform, you agree to these Terms.

These Terms describe the Platform generally. Your actual participation as an affiliate or buyer is governed by the specific contractual agreement PingAlpha sends you and you execute with us (an insertion order, participation agreement, or similar). That executed agreement is controlling: where anything in it conflicts with, adds to, or differs from these Terms, the executed agreement governs.

PingAlpha is an Arizona LLC located at 2820 S. Alma School Rd Ste 18 #553, Chandler, AZ 85286.

Eligibility and accounts

You must provide accurate information when registering for access to the Platform and are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

Affiliate obligations

• Leads submitted must be generated through lawful means, with any consent required by applicable law (including TCPA and CAN-SPAM) obtained and documented before submission.
• Unsold leads are only remarketed by PingAlpha where the affiliate has opted in to remarketing and PingAlpha holds the lead's explicit consent to be contacted for that purpose — both conditions are required.
• Lead data submitted must be accurate and not fabricated, recycled, or duplicated in violation of Platform rules.
• You are responsible for the traffic sources and methods used to generate leads submitted to the Platform.

Buyer obligations

• Leads purchased through the Platform must be used in accordance with the vertical and use case they were routed for.
• Buyers are responsible for their own compliance with applicable law when contacting or marketing to purchased leads.
• Bid, ping, and post responses returned to the Platform must accurately reflect the buyer's actual capacity and intent to purchase.
• Once a lead is delivered to a buyer, that buyer is solely responsible for its own handling, retention, and use of that lead's information, under the buyer's own privacy policy and terms — independent of PingAlpha and not controlled by any opt-out made to PingAlpha after delivery.

Fees and payment

Pricing, payout, and billing terms are governed by the commercial agreement between you and PingAlpha and are not restated in full here. In the event of a conflict, that agreement controls.

Suspension and termination

We may suspend or terminate access to the Platform for violations of these Terms, fraudulent activity, or conduct that creates legal or compliance risk for PingAlpha or other Platform participants.

Disclaimers and limitation of liability

The Platform is provided on an "as is" basis. To the maximum extent permitted by law, PingAlpha disclaims all warranties and is not liable for indirect, incidental, or consequential damages arising from use of the Platform.

Changes to these Terms

We may update these Terms from time to time. Continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.
